Terms and Conditions

Last Updated: 10/15/26

These Service Terms and Conditions (the "Terms") apply to cleaning, environmental remediation, decontamination, sanitization, odor treatment, related site assessments, and other services provided by BioClean Good Housekeeping ("BioClean," "we," "us," or "our") to the person or entity ordering or receiving those services (the "Client," "Customer," or "you"). The business’s legally registered contracting entity, if different from its trade name, should be identified in each Service Order.

These Terms operate together with the applicable estimate, proposal, invoice, booking confirmation, scope of work, change order, and other written or electronic authorization describing the services, price, schedule, exclusions, and deliverables (each a "Service Order" or "Scope of Work").

1. Acceptance of Terms

By requesting, booking, approving, ordering, authorizing, paying for, or accepting BioClean services, or by checking a box or otherwise electronically acknowledging these Terms, you agree to be bound by these Terms and the applicable Service Order. If you do not agree to these Terms, you should not order or authorize BioClean services.

Acceptance may occur by any reasonable written or electronic method, including but not limited to checking an online box, approving an estimate, invoice, proposal, booking form, payment link, Scope of Work, email, text message, electronic signature, online form, or other written/electronic confirmation. Physical or electronic signatures may be used, but are not required unless BioClean specifically requires a signature for a particular project.\

2. Services and Scope of Work

BioClean may provide mold-related cleaning or remediation, surface cleaning, decontamination, sanitization, odor and smoke-residue treatment, microbial cleaning, dust and allergen reduction, and other environmental cleaning or restoration services when expressly specified in a Service Order. The Service Order must identify applicable products and methods, work areas, containment, material removal, equipment, access requirements, and exclusions. Any antimicrobial, disinfectant, or fumigant use is subject to applicable labeling, licensing, and legal requirements. No regulated or licensed service is promised unless BioClean holds the required authorization or engages an appropriately licensed provider.

Only the work expressly listed in the Service Order is included. Testing, laboratory analysis, post-remediation verification, clearance certification, rebuilding, structural repairs, removal of asbestos or lead, and concealed-area investigation are excluded unless separately contracted and lawfully performed.

3. Estimates, Service Orders, and Changes

The Service Order will describe project location, treatment areas, anticipated methods, estimated duration, fees, deposits, milestones, payment requirements, and any specified deliverables. Estimates may change if site conditions differ materially from conditions disclosed or observable when quoted.

Hidden contamination, moisture damage, inaccessible areas, additional material removal, unexpected hazards, extra visits, and client-requested additions may require a written change order and corresponding price or schedule adjustment. BioClean will seek authorization before performing separately billable work, except for reasonable measures immediately necessary for safety where permitted by law.

4. Client Obligations, Access, and Site Conditions

The Client must provide lawful access, utilities, clear work areas, and accurate disclosure of known water intrusion, mold, contamination, structural problems, hazardous materials, electrical issues, occupants’ sensitivities, pets, and security restrictions. The Client is responsible for following written preparation, vacating, ventilation, reentry, and post-service instructions.

BioClean may stop or postpone work if conditions are unsafe, required authorizations are missing, or undisclosed hazards are encountered. Responsibility for the underlying source of moisture or contamination remains with the Client unless source repair is separately included in the Scope of Work.

5. Fees, Deposits, Advance Payments, and Payment Terms

The Client will pay the charges and any approved additions identified in the Service Order. The Service Order governs deposit amounts, progress payments, final payment, and cancellation provisions. Deposits and cancellation fees are subject to applicable consumer-protection and contractor laws; no deposit is automatically nonrefundable solely because it is described that way.

Invoices are payable as specified in the Service Order. BioClean may suspend incomplete services for unpaid amounts when legally permitted and after required notice. Any late charges, collection expenses, or attorney fees apply only as allowed by law and an enforceable agreement.

6. Laboratory Analysis and No Refunds After Processing

Work involves committed labor, materials, supplies, scheduling, equipment, and sometimes third-party expenses. Refund or cancellation requests will be evaluated based on work actually performed, materials committed, the Service Order, and applicable law. No provision of these Terms waives mandatory cancellation, warranty, or consumer rights.

BioClean does not guarantee a particular laboratory result, microbial count, odor outcome, contaminant concentration, or independent clearance result unless a specific measurable performance standard and remedy are expressly agreed in writing.

7. Third-Party Laboratories, Vendors, and Subcontractors

BioClean may use qualified employees, subcontractors, vendors, disposal providers, and other independent specialists as appropriate to the agreed scope. Any license or certification legally required for a particular activity must be held by the person or entity performing it.

BioClean remains responsible for its own contractual obligations and for third-party conduct to the extent required by applicable law. Services and turnaround times dependent on third parties may be affected by supply, disposal, access, or scheduling constraints.

8. Testing and Inspection Limitations

Cleaning, remediation, sanitization, and odor treatment address the accessible areas, surfaces, and conditions specified in the Service Order. Contaminants may remain in concealed cavities, porous materials, HVAC systems, or other untreated locations; moisture intrusion and other contributing causes may also persist.

Environmental conditions can change after service. Recontamination, new water damage, ventilation problems, continued pollutant sources, and activity by others can affect results. Unless expressly stated, services do not constitute a whole-building certification, guarantee of sterility, elimination of every allergen or microorganism, or confirmation that a property is safe for every individual.

9. Inspection and Sampling Risks; Limited Disturbance

Approved remediation or cleaning may include moving contents, opening or removing materials, abrasion, cleaning chemicals, air filtration, containment barriers, equipment placement, and waste handling. The Service Order should identify anticipated demolition, material disposal, and restoration obligations.

BioClean will exercise reasonable care but certain treatment methods may affect finishes, paint, textiles, coatings, or previously damaged materials. The parties should identify valuable, delicate, irreplaceable, or sensitive items before work. Nothing here excludes liability that cannot legally be disclaimed.

10. Work Product and Preliminary Communications

The final invoice, work completion summary, photographs, written observations, and any other written deliverables expressly included in the Service Order constitute the project deliverables. Preliminary comments or informal estimates are not substitutes for final written documentation.

BioClean retains its preexisting methods, forms, templates, and proprietary business materials. The Client may use final paid-for project documentation for the intended property-related purpose, subject to applicable law.

11. No Guarantees; Client Decisions

BioClean will perform the contracted services with reasonable care consistent with applicable professional practices and manufacturer label instructions. No representation is made that treatment will cure or prevent illness, permanently eliminate odors, prevent future mold growth, or remove pollutants from areas outside the agreed scope.

The Client remains responsible for correcting active moisture sources, obtaining necessary repairs, following reentry and ventilation instructions, and deciding whether independent testing or post-remediation verification is appropriate. BioClean does not provide medical or legal advice.

12. Legal, Administrative, Insurance, and Dispute-Related Participation

If the Client requests services outside the agreed project scope related to an insurance claim, dispute, litigation, testimony, document production, or expert consultation, separately agreed reasonable rates and costs may apply, to the extent permitted by law. BioClean will comply with legally binding requests and applicable rules governing subpoenas and evidence.

13. Notice of Concerns and Opportunity to Review

The Client should notify BioClean promptly in writing of any alleged service deficiency or damage and, where reasonably possible, allow an opportunity to inspect and propose appropriate corrective action. This does not restrict urgent measures needed to protect health, safety, or property, or any non-waivable statutory remedies.

14. Confidentiality

BioClean and the Client will take reasonable steps to protect non-public confidential information disclosed by the other party in connection with the services. Confidential information does not include information that is publicly available, already known without confidentiality obligations, independently developed, or lawfully received from a third party without restriction. BioClean may disclose information as necessary to perform the services, use laboratories or vendors, comply with law, respond to valid legal process, collect unpaid amounts, or protect its rights.\

15. Disclaimer of Warranties

Except for express warranties set out in a signed Service Order and warranties required by law, BioClean makes no additional warranties regarding results outside the defined service scope. No disclaimer in these Terms overrides warranties or protections that cannot legally be waived.

16. Limitation of Liability

To the extent permitted by applicable law, neither party will be responsible for remote or unforeseeable consequential losses arising solely from breach of these Terms. Any negotiated limitation of liability must be stated conspicuously in the Service Order and is subject to applicable law. Nothing in these Terms limits liability for gross negligence, willful misconduct, or other non-waivable claims.

17. Release and Responsibility for Third Parties

Unless separately contracted, BioClean is not responsible for independent work by unrelated plumbers, roofers, HVAC contractors, testing consultants, reconstruction contractors, or other providers retained directly by the Client. BioClean is responsible for its own acts and omissions and for others to the extent required by law.

18. Communications and Transactional Messages

BioClean may communicate by telephone, email, text, or other agreed methods regarding estimates, scheduling, access, preparation, appointment reminders, treatment updates, payment, and service follow-up. SMS consent and opt-out rights are governed by applicable law and Section 22. Marketing messages require any legally necessary separate consent.

19. Governing Law, Venue, and Dispute Resolution

California law governs these Terms, except where another jurisdiction’s mandatory law applies. Any legal proceeding will be brought in a court of competent jurisdiction and proper venue, unless the parties validly agree otherwise in a separate written agreement. Nothing in this provision limits rights to small claims, statutory remedies, or other non-waivable procedural protections.

20. Website Use Terms

Use of BioClean’s website is subject to these Terms and any separately posted privacy, cookie, or SMS policies. Website descriptions are general information, not a property-specific guarantee or an offer of services requiring licenses BioClean does not hold. BioClean may update the website terms prospectively as permitted by law.

21. Severability and Entire Terms

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect to the maximum extent permitted by law. These Terms, together with the applicable Service Order and any approved change order or written/electronic confirmation, constitute the agreement between BioClean and the Client for the applicable services, unless replaced by a separately signed written agreement.

22. SMS Terms of Service

By opting in to receive SMS from BioClean Good Housekeeping through a website or other consent method, you agree to receive the categories of messages described at the point of consent, which may include service inquiries, appointment scheduling, reminders, arrival updates, project coordination, payment reminders, and service follow-ups.
